I am getting a Geforce 2 mx400 64MB AGP w/ TVOUT graphics card, and I was wondering how I go about overclocking it. Like, how do I change the core and memory speeds?
Also, do I have to have a heatsink/fan on the chipset when it is not overclocked? Do I need a heatsink/fan on the chipset when it is overclocked?

A heatsink/fan would be a definate plus when overlocking a video card. Also, if available, get yourself some RAM heatsinks as well!
You can overlock Geforce cards by doing the following:
Go to your registery (type Regegit in Run...)
and open the following folders:
-->HKEY_LOCAL_MACHINE
--->SOFTWARE
----->NVIDIA Corporation
------>Global
Now either open the NVTweak folder or make it, depending on whether or not it is present.
In the NVTweak directory, make a new DWORD Value and name it CoolBits. Now right click on CoolBits, and select modify. Add a Hexadecimal value of three, and you're all set.
Now under your video cards properties (Display Properties - Settings - Advanced - Video Card model tab - Additional Properties button - Clock Frequency tab) you will now see core and memory frequency sliders.
And that just about does it. Take it step by step, and you'll see this procedure looks more intimidating than it really is
I'm not sure about the geforce2mx cards, but the geforce2 gts cards come with a fan and heatsink already attached.
If you're uncomfortable editing the registry then download the NVmax utility that allows you to overclock the core/memory of the card with a GUI in Windows.
Exra cooling like a blorb and ramsinks might allow you to overclock more, but there's no guarantee. I'd see if you can get satisfactory overclocking before you spend extra money.

Actually, extra cooling does seem to go a long way. My GTS pretty much gave up with memory clocked to 350MHz (originally at 333) on standard cooling.
Think of the video card as a CPU. When it's running on default multiplyer settings a standard heatsink is fine, but once you start to push it's ability extra cooling is a must.
Currently I'm trying to find a local retailer who actually sells some decent sized heatsinks...it's been tough...
However, as BadBrain put it, see how far you can get and then shell out a few bucks if you want to push it further.
Just make sure you are not using the "Certified" drivers. They can not get them certified from Microsoft with an overclocking utility in the drivers. They disable "cool bits" in the certified drivers, but re-enable it in the "beta" drivers they release just days later (that usually do nothing new, but support cool bits).
I currently am using the DetonatorXP 22.80 drivers and they work pretty good. My GeForce2 GTS managed a nice overclock from 200/333 to 210/410. I had the memory topped out at 400 untill I added home made ram sinks to the memory (attached with some thermal paste and a few dots of Super Glue in the corners). The memory gets a few artifacts at 420 (much less that what I used to get at just 405). The core is a bit unstable at 215 (locks up every now and then, so I turned it down). The cooling on the core sucks, but the heatsink is glued on and after seeing a GeForce2 GTS Ultra with the core pulled off the graphics card, I gave up on the idea of replacing the heatsink.
